1. Agreement to these Terms
These Terms of Service (“Terms”) form a binding agreement between you (“you” or “User”) and Shuffle Health, LLC (“Shuffle Health,” “we,” “us,” or “our”) governing your access to and use of the Shuffle Health website, mobile experiences, APIs, and related services (collectively, the “Service”). By creating an account, accessing any part of the Service, or clicking a button affirming your acceptance, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date and, where appropriate, communicated to you by email or in-app notice at least fifteen (15) days before they take effect. Your continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms.
2. Definitions
For convenience, the following capitalized terms have the meanings given below:
- “Account” means the unique user profile you create to access the Service.
- “Content” means all text, video, audio, graphics, course materials, curricula, models, assessments, and other materials made available through the Service.
- “Contributor” means a third-party instructor, coach, or subject-matter expert whose content is offered through the Service.
- “Output” means any text, image, plan, recommendation, or other material generated by the AI systems used in the Service.
- “Service” has the meaning given in Section 1.
- “User” or “you” means the individual accessing the Service.
- “User Content” has the meaning given in Section 9.
3. Eligibility
The Service is intended for healthcare professionals (including, without limitation, physicians, physician assistants, nurse practitioners, registered nurses, pharmacists, and other licensed clinicians) and individuals at least eighteen (18) years of age. By using the Service, you represent and warrant that you (a) are at least eighteen years old; (b) have the legal capacity to enter into these Terms; and (c) are not prohibited from using the Service under the laws of your jurisdiction or any applicable export control or sanctions regime. The Service is not directed to children under 18, and we do not knowingly collect information from anyone under 18.
4. Accounts and Security
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
Accounts are for a single, individual user. You may not share, transfer, sell, or assign your account or credentials to anyone else. Institutions and group purchasers must obtain separate enterprise licenses (see Section 7). We may require additional verification for certain users, including educators, employers, or institutional administrators.
Notify us promptly at security@shuffle.health if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.
5. Services Description
The Service provides career-transition guidance, curated learning paths, AI-generated career matches, courses, training plans, assessments, and related educational content for clinicians. Content is primarily delivered on a self-paced basis through our web and mobile experiences. We may also offer recorded or asynchronous instructor-contributed content from time to time.
Access requires a supported browser or device, a stable internet connection, and a current Shuffle Health account. We may modify, suspend, or discontinue any part of the Service — including individual features, courses, or Contributor content — at any time, with or without notice. Some features may be released as beta or experimental and are provided without warranty; we may change or remove them at any time.
6. Subscription, Billing, and Cancellation
- Plans. The Service offers a free Explorer tier and a paid Shuffle Pro tier billed at $79 per month or $699 per year. Pricing, features, and tier composition may change with prospective effect upon notice.
- Authorization. By providing payment information you authorize Shuffle Health (and our payment processor) to charge the applicable fees, taxes, and any other charges you incur in connection with your use of the Service.
- Auto-renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current rate until canceled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current paid period and is not retroactive.
- Free trials and promotions. Promotional pricing, free trials, and discount codes may have additional terms disclosed at the point of offer; those terms are incorporated by reference. Free trials automatically convert to paid subscriptions at the end of the trial period unless canceled before the trial ends. Promotional codes are non-transferable, may not be combined with other offers, and may be withdrawn at any time.
- Refunds. Except where required by law or expressly stated by us in writing, all fees are non-refundable.
- Late or failed payments. If a payment fails, we may retry the charge, restrict access to paid features, or suspend or terminate your subscription. You remain responsible for any amounts owed.
- Chargebacks. Initiating a chargeback or payment dispute without first contacting us in good faith may result in immediate suspension or termination of your account. We reserve the right to contest improper chargebacks and recover associated costs.
- Price changes. We may change prices on prospective renewals. We will notify you at least thirty (30) days before a price change takes effect on your renewal, and you may cancel before the change applies.
- Currency and taxes. Listed prices are in U.S. dollars and do not include taxes. You are responsible for any sales, use, value-added, or similar taxes applicable to your purchase.
7. License to Use the Service
Subject to your compliance with these Terms and your payment of any applicable fees, Shuffle Health grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Content for your own personal, internal, non-commercial career-development purposes. All other rights are reserved.
You may not download, copy, reproduce, redistribute, publicly display, publicly perform, modify, translate, or create derivative works from any Content, except as expressly permitted in writing or by features provided in the Service. You may not record, screenshot for redistribution, or republish Content. Group, team, or enterprise use requires a separate written license from Shuffle Health.
8. Acceptable Use
You agree not to, and not to attempt to:
- access the Service through automated means, scrape, data-mine, or build a competing or derivative product from our Content, models, or curricula;
- reverse engineer, decompile, disassemble, or otherwise derive source code or model weights from the Service;
- upload material you do not have rights to submit, including protected health information of third parties;
- upload viruses, malware, or content that is unlawful, defamatory, harassing, discriminatory, hateful, fraudulent, sexually explicit, or that infringes intellectual property or privacy rights;
- harass, threaten, impersonate, or solicit other users, Contributors, or staff;
- resell, sublicense, share, or allow others to use your account or any subscription;
- use the Service to provide medical, legal, financial, or other professional advice to third parties;
- circumvent rate limits, paywalls, authentication, or any other access controls;
- use the Service in violation of any law, regulation, or contract.
We may suspend or terminate access to the Service for any conduct we reasonably believe violates these Terms or harms the Service, our staff, our Contributors, or other users.
9. User Content
“User Content” means any material you submit to the Service, including resumes, intake answers, profile information, free-text inputs to AI features, assessment responses, and any posts in community or discussion features. You retain ownership of your User Content. You grant Shuffle Health a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, transmit, display, and create derivative works of your User Content solely as necessary to (a) operate, secure, and improve the Service, (b) personalize your experience and generate matches and curricula, (c) produce de-identified, aggregated insights, and (d) comply with law.
You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate any law or third-party right. We do not endorse User Content and are not responsible for its accuracy. We have the right, but not the obligation, to monitor, review, edit, or remove User Content at our sole discretion, and to disclose User Content where required by law or to protect the Service.
Community features. Where the Service offers discussion forums, group spaces, or other community features, you agree to engage respectfully and follow any posted community guidelines. We may remove posts and suspend access without notice for violations.
10. Contributor Content
Some Content is created by third-party instructors, coaches, or subject-matter experts (“Contributors”). Contributor Content reflects the views and methods of the Contributor and not necessarily Shuffle Health. We do not independently verify, endorse, or guarantee Contributor Content, and Contributors are not our employees or agents. Contributors are bound by separate agreements with Shuffle Health that govern their participation in the Service.
11. AI-Generated Output
The Service uses third-party large-language models and other AI systems to generate career matches, course content, training plans, assessments, and other Output. Output is produced probabilistically and may contain errors, omissions, biases, or content that is misleading or out of date. You are solely responsible for evaluating Output before relying on it. We make no warranty that Output is accurate, complete, suitable for any particular purpose, or non-infringing. Output is provided for informational and educational purposes only and does not constitute medical, legal, financial, employment, or career advice. Do not enter protected health information of patients into the Service.
12. No Professional or Career Outcome Guarantees
Shuffle Health does not guarantee any specific career outcome, salary, job placement, employer introduction, certification recognition by any third-party employer or licensing body, or that any particular pathway will be suitable for you. Individual results vary based on factors outside our control. Career-transition decisions are personal and should be made in consultation with qualified advisors.
Certificates vs. accredited credentials. Any certificate of completion issued through the Service reflects only that you have completed the associated activity on our platform. Certificates of completion are not accredited credentials, professional licenses, continuing-education credits, or formal degrees, and they do not guarantee recognition by any employer, licensing board, certifying body, or educational institution unless we expressly state otherwise in writing for a specific program.
Course access.Unless otherwise stated for a specific program, course access is tied to your active subscription. References to “lifetime” or extended access mean the operational lifetime of the relevant course on the Service, not a perpetual license, and access may end if the course is retired, materially updated, or if your subscription lapses. We may update, revise, or retire courses at any time.
13. Intellectual Property
The Service, including all software, course content, curricula, models, designs, logos, trademarks, service marks, and other materials, is owned by Shuffle Health or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license granted in Section 7, nothing in these Terms transfers any right, title, or interest in or to the Service. “Shuffle Health” and associated logos are trademarks of Shuffle Health, LLC.
Copyright complaints (DMCA). If you believe Content on the Service infringes your copyright, send a notice to our designated agent at copyright@shuffle.health that includes: (i) a physical or electronic signature of the rights holder or authorized agent; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorized; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the rights holder’s behalf. We will respond consistent with the Digital Millennium Copyright Act, including by providing a counter-notification process and terminating the accounts of repeat infringers in appropriate circumstances.
14. Affiliate and Referral Programs
We may from time to time offer affiliate or referral programs that allow you to earn rewards or credits for referring new users to the Service. Participation is subject to additional program-specific terms posted at the time of offer. We may modify, suspend, or terminate any affiliate or referral program at our discretion. Improper conduct — including self-referrals, fraudulent referrals, spam, or misrepresentation of the Service — may result in forfeiture of rewards and termination of your account.
15. Third-Party Services and Links
The Service may interoperate with or link to third-party services (including, without limitation, Clerk for authentication, Stripe for payments, Anthropic and OpenAI for AI inference, and Cloudflare for hosting and storage). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, content, products, or services of any third party, and links or integrations do not imply endorsement.
16. Privacy and Communications
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to receive electronic communications from us, including service notices, transactional emails, and (where you have opted in) marketing emails. You can manage email and notification preferences in your account settings.
SMS / text messaging. If you provide a mobile number and opt in to SMS notifications, you consent to receive text messages from Shuffle Health, which may be sent using automated technology. Message and data rates may apply. Message frequency varies. You can opt out at any time by replying STOP to any message; reply HELP for help. Opting out of SMS does not affect your subscription or account.
17. Accessibility
Shuffle Health is committed to making the Service usable by people with a wide range of abilities. We aim to align with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA where reasonably feasible, and we continue to improve accessibility over time. Not every feature may be fully accessible at all times. If you encounter an accessibility barrier or need an accommodation, please contact accessibility@shuffle.health and we will work in good faith to assist you.
18. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Shuffle Health and its affiliates, licensors, and suppliers disclaim all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected, nor that the Service or its servers are free of viruses or other harmful components. We do not warrant that Content, Output, or any career pathway will meet your specific needs or objectives.
19. Limitation of Liability
To the maximum extent permitted by law, in no event will Shuffle Health, its affiliates, officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, loss of goodwill, lost data, business interruption, or substitute-service costs, arising out of or relating to these Terms or your use of (or inability to use) the Service, even if advised of the possibility of such damages. The aggregate liability of Shuffle Health for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to liability and (b) one hundred U.S. dollars ($100). Any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action arose; otherwise it is permanently barred. Some jurisdictions do not allow exclusion or limitation of certain damages or limitations on the time to bring a claim; in those jurisdictions our liability is limited to the maximum extent permitted by law.
20. Indemnification
You will indemnify, defend, and hold harmless Shuffle Health, its affiliates, and their respective officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Service, (b) your User Content, (c) your violation of these Terms or any law, or (d) your violation of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense. You may not settle any claim without our prior written consent.
21. Termination
You may stop using the Service at any time and may close your account from the account settings page. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases immediately, any unused paid period is forfeited where termination is for cause, and we have no obligation to refund any fees. We may retain certain information after termination as described in the Privacy Policy or as required by law. Sections that by their nature should survive termination will survive (including Sections 7, 9, 11–13, 18–22, and 24).
22. Dispute Resolution; Binding Arbitration; Class-Action Waiver
Please read this section carefully — it affects your legal rights.
Informal resolution. Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at legal@shuffle.health. We will attempt to resolve the dispute through good-faith negotiations within sixty (60) days.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of the arbitration will be in Colorado unless otherwise required by law. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver.You and Shuffle Health each agree that any proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
Exceptions. Either party may seek injunctive or other equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights, and small-claims court actions are not subject to arbitration.
23. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Subject to Section 22, the state and federal courts located in Colorado will have exclusive jurisdiction over any matter not subject to arbitration.
24. International Use, Export, and Sanctions
The Service is operated from the United States. If you access the Service from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws. You represent that you are not located in, under the control of, or a national or resident of any country, or on any list maintained by the U.S. government, that would prohibit your access to the Service. Translations of these Terms, where provided, are for convenience only; the English version controls in the event of any conflict.
25. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, pandemics, epidemics, acts of war or terrorism, civil unrest, government actions, labor disputes, internet or telecommunications outages, third-party service failures, and acts of God.
26. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any order forms or supplemental terms, are the entire agreement between you and Shuffle Health.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Shuffle Health.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
- Headings. Section headings are for convenience only and do not affect interpretation.
- Notices. We may give notice by email or by posting on the Service. You may give notice to legal@shuffle.health.
